1. Agreement and Scope
These Terms of Service ("Terms") govern all use of the website located at hxcylinder.com ("Website") and all commercial transactions between Wuxi Hengshui Machinery Co., Ltd. ("Hengshui", "we", "us") and any buyer ("Buyer", "you"). By using this Website or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms.
These Terms apply to all quotations, purchase orders, sales contracts, and deliveries of hydraulic cylinders and related products and services.
2. Products and Orders
All products are manufactured and supplied subject to the specifications agreed in the relevant quotation or sales contract. Hengshui reserves the right to make minor technical modifications without notice provided they do not adversely affect performance. All orders are subject to written acceptance by Hengshui. An order is only binding upon Hengshui's issuance of a written order confirmation or Proforma Invoice signed by both parties.
- Product specifications, dimensions, and performance data in catalogues are indicative only and subject to manufacturing tolerances.
- For OEM/ODM orders, Buyer is responsible for the accuracy of drawings, specifications, and technical requirements supplied to Hengshui.
- Hengshui may decline any order at its discretion without liability.
3. Pricing and Payment
All prices are quoted in US Dollars (USD) unless otherwise agreed in writing. Prices are valid for 30 days from the date of quotation unless otherwise stated.
Standard payment terms: 30% T/T (bank transfer) deposit upon order confirmation; 70% T/T balance paid prior to shipment and release of Bill of Lading. Alternative terms including Letter of Credit (L/C) at sight may be agreed in writing for established clients.
Hengshui reserves the right to adjust prices to reflect changes in raw material costs, labour costs, or currency exchange rates for orders not yet confirmed. Late payment may attract interest at 1.5% per month on overdue amounts.
4. Delivery and Risk Transfer
Unless otherwise agreed in writing, all deliveries are on FOB (Free on Board) – Port of Shanghai or Wuxi (Incoterms® 2020) terms. Risk transfers to Buyer upon loading goods onto the nominated vessel. Hengshui will assist with export customs clearance and documentation (commercial invoice, packing list, certificate of origin, bill of lading) as standard.
- Lead times quoted are estimates and not guaranteed. Hengshui will not be liable for delay due to force majeure events including natural disasters, government actions, port congestion, or material supply disruptions.
- CIF and DDP delivery terms are available by specific agreement. Additional charges apply.
- Buyer is solely responsible for import customs clearance, duties, and taxes in the destination country.
5. Quality, Inspection and Acceptance
All hydraulic cylinders are manufactured under ISO 9001:2015 certified quality management procedures and are 100% pressure-tested at the factory prior to shipment. Hengshui will provide standard inspection documentation upon request.
Buyer has the right to arrange pre-shipment inspection by a mutually agreed third-party inspector at Buyer's cost. Goods are deemed accepted if no written defect notice is received within 15 days of arrival at destination port. Claims for transit damage must be reported to the carrier immediately and documented with photographs.
6. Warranty
Hengshui warrants that all products will be free from defects in materials and workmanship for a period of 12 months from the date of shipment, under normal operating conditions and in accordance with applicable technical specifications. For full details see our Warranty Policy.
This warranty does not cover defects arising from: misuse or improper installation; modifications not authorised by Hengshui; use of incompatible hydraulic fluids; contamination; operation outside specified pressure, temperature, or cycle parameters; or normal wear and tear.
7. Limitation of Liability
Hengshui's total liability to Buyer under or in connection with any contract shall not exceed the invoice value of the specific goods giving rise to the claim. In no event shall Hengshui be liable for indirect, consequential, special, punitive, or incidental damages including loss of profit, loss of production, loss of contract, or business interruption, howsoever caused.
8. Intellectual Property and Confidentiality
All drawings, designs, technical specifications, tooling, and know-how developed by Hengshui remain the exclusive property of Hengshui. Buyer's drawings and specifications provided for OEM/ODM manufacturing are treated as confidential and will not be disclosed to third parties without Buyer's written consent. Hengshui may require Buyer to sign a Non-Disclosure Agreement (NDA) for sensitive custom projects.
9. Force Majeure
Neither party shall be liable for failure or delay in performing obligations due to circumstances beyond reasonable control including acts of God, war, government regulations, epidemics, fire, flood, strike, or transport disruptions. The affected party must notify the other in writing within 5 days of the event arising.
10. Governing Law and Dispute Resolution
These Terms and any contract entered into pursuant hereto shall be governed by the laws of the People's Republic of China. Any dispute arising shall first be resolved through good-faith negotiation. Failing negotiation within 30 days, disputes shall be submitted to the jurisdiction of the competent People's Court in Wuxi, Jiangsu Province, China, or alternatively to arbitration before the China International Economic and Trade Arbitration Commission (CIETAC) as mutually agreed.
